These Terms of Service ("Terms") govern your access to and use of Buda ("Service"), a drive-based agent platform operated by Buda ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Definitions

  • "Service" refers to the Buda platform, including file storage, workspace collaboration, AI agents, APIs, skills, channels, and related tools.
  • "User," "you," or "your" refers to individuals or entities accessing the Service.
  • "Content" means any files, documents, data, or materials uploaded, created, or stored through the Service.
  • "Workspace" refers to a collaborative environment where you organize files and interact with AI agents.
  • "Agent" refers to AI-powered automation and assistance features within the Service.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use this Service. By registering, you represent that you meet this requirement.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

2.4 Account Types

  • Individual Accounts: For personal use
  • Team Accounts: For collaborative workspaces with multiple users
  • Enterprise Accounts: For organizations with advanced features and support

3. License and Usage Rights

3.1 Service License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal purposes.

3.2 Restrictions

You may not:

  • Sublicense, sell, or redistribute access to the Service to third parties
  • Use the Service to build a competing drive or agent platform
  • Attempt to reverse engineer, decompile, or extract proprietary components of the Service
  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the integrity or performance of the Service
  • Exceed rate limits or abuse API access
  • Use automated tools to scrape or harvest data from other users
  • Upload malware, viruses, or malicious code

4. User Content and Data

4.1 Ownership

You retain all rights to Content you create or upload through the Service. We do not claim ownership of your Content.

4.2 License to Us

By using the Service, you grant us a limited license to:

  • Host, store, and process your Content to provide the Service
  • Create backups and redundant copies for reliability
  • Process Content with AI agents as directed by you
  • Route Content, prompts, instructions, and related workspace context to third-party model providers or compatible infrastructure when needed to provide AI features
  • Display Content to users you authorize (workspace members, shared links)

4.3 Responsibility

You are solely responsible for your Content and ensuring it does not:

  • Violate any laws or regulations
  • Infringe on third-party intellectual property rights
  • Contain malware, viruses, or harmful code
  • Include illegal, abusive, or harmful material

4.4 Storage Limits

Your account has storage limits based on your subscription plan. We may restrict uploads if you exceed your limit.

4.5 Prohibited Content

You may not upload or store:

  • Illegal content (child exploitation, terrorism, etc.)
  • Copyrighted material without authorization
  • Personal information of others without consent
  • Content that violates export control laws

5. AI Agents and Automation

5.1 Agent and Model Usage

AI agents and model-based features are provided to assist with file management, analysis, automation, and productivity. You are responsible for:

  • Reviewing outputs before taking action
  • Ensuring prompts, instructions, uploaded materials, and resulting actions comply with these Terms
  • Ensuring you have the right to submit any content you ask the models or agents to process
  • Understanding that model outputs and generated files may contain errors or other defects

5.2 Agent and Model Limitations

We do not guarantee that agents or models will:

  • Produce accurate, complete, lawful, or error-free results
  • Correctly understand all instructions or context
  • Generate safe, non-infringing, production-ready, or fit-for-purpose files
  • Complete all tasks successfully or preserve all intermediate work

5.3 Third-Party AI Processing

When you use AI features, your Content, prompts, instructions, attachments, and workspace context may be processed by third-party providers or compatible infrastructure used to make available the model families offered in Buda, including Claude, GPT, and Gemini family models. The exact provider or processing path may vary by selected model, feature, workspace configuration, and environment. See our Privacy Policy for details.

5.4 Generated Output Disclaimer

Text, files, code, summaries, classifications, plans, or other artifacts displayed or generated through the Service may be produced wholly or partly by AI systems. Such output may be inaccurate, incomplete, misleading, biased, offensive, infringing, or unusable. You are solely responsible for reviewing, testing, and validating any AI-generated output before relying on it or using it in business, legal, compliance, employment, medical, financial, security, publishing, or other high-impact contexts.


6. Workspace Collaboration

6.1 Team Workspaces

When you create a team workspace, you can invite members and assign permissions. You are responsible for:

  • Managing access and permissions
  • Ensuring members comply with these Terms
  • Monitoring workspace activity

6.2 Shared Content

When you share files or folders, you grant authorized users access according to the permissions you set (view, edit, comment).

6.3 Workspace Owner Responsibilities

Workspace owners are responsible for all activity within their workspace, including actions by team members.


7. Payment and Billing

7.1 Subscription Plans

Buda offers free and paid subscription plans. Paid plans may provide additional storage, features, credits, model access, collaboration capabilities, or support.

7.2 Fees

All fees are stated in US dollars unless otherwise specified. Fees are billed in advance on a monthly or annual basis.

7.3 Billing

You authorize us and our billing providers to charge your designated payment method for all applicable fees. Payments are non-refundable except as required by law or as expressly stated in these Terms.

7.4 Taxes

You are responsible for all applicable taxes. We may collect taxes where required by law.

7.5 Price Changes

We may change our fees upon 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new fees.

7.6 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds for partial periods.

7.7 Overages

If you exceed your plan's storage or usage limits, we may charge overage fees or restrict access until you upgrade or reduce usage.


8. Intellectual Property

8.1 Our Property

The Service, including its original content, features, functionality, and AI models (excluding User Content), is owned by us and protected by international copyright, trademark, and other intellectual property laws.

8.2 Trademarks

"Buda" and associated logos are our trademarks. You may not use them without our prior written consent.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.


9. Third-Party Services

The Service may integrate with or link to third-party services, such as authentication providers, billing providers, cloud storage, communication channels, and AI model providers. Your use of such services is governed by their respective terms and privacy policies where applicable. We are not responsible for third-party services.


10. Disclaimers

10.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not warrant that the Service will be:

  • Uninterrupted, error-free, or secure
  • Free from data loss or corruption
  • Compatible with all devices or browsers
  • Able to meet your specific requirements

10.3 AI Accuracy

We do not guarantee the accuracy, completeness, or reliability of AI agent outputs. You are responsible for verifying agent results.

10.4 Generated Files and Actions

We do not guarantee that any AI-generated file, code change, recommendation, workflow, classification, or automation is correct, secure, lawful, non-infringing, or appropriate for your intended use. Any decision to save, export, publish, execute, or act on generated output is your responsibility.

10.5 Beta Features

Any beta or experimental features are provided without warranty and may be modified or discontinued at any time.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

    • Loss of data, files, or content
    • Loss of profits, revenue, or business opportunities
    • Loss of goodwill or reputation
    • Costs of substitute services
    • Damages resulting from AI agent errors, model output, generated files, or automation failures
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

    • (A) The amount you paid us in the 12 months preceding the claim, OR
    • (B) $100 USD

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.


12. Data Backup and Loss

12.1 Your Responsibility

You are responsible for maintaining backups of your Content. We provide redundancy and backups for reliability, but we are not liable for data loss.

12.2 Service Interruptions

We may experience downtime for maintenance, upgrades, or unforeseen issues. We are not liable for any losses resulting from service interruptions.


13. Indemnification

You agree to indemnify, defend, and hold harmless Buda and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload or share
  • Actions of your workspace members

14. Term and Termination

14.1 Term

These Terms are effective until terminated by either party.

14.2 Termination by You

You may terminate your account at any time through your account settings or by contacting us.

14.3 Termination by Us

We may suspend or terminate your access immediately, without notice, for conduct that we believe:

  • Violates these Terms
  • Is harmful to other users or us
  • Exposes us to legal liability
  • Involves fraudulent or illegal activity

14.4 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your Content after 30 days
  • You remain liable for any outstanding fees
  • Sections that by their nature should survive termination will survive (including Sections 8, 10, 11, 12, 13, and 15)

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions.

15.3 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

15.4 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

15.5 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver.

15.6 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

15.7 Modifications

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

15.8 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
